Right now for a 2005 according to sources that I checked, a 2005 H2 SUT the instant market value of it is 23,649. I saw a few ranging in price from 19,000 27,000. If you give him 28,845 I would also make him throw in some new tires that has some good tread on them. Tell him you want 5 Goodyear Duratrac's thrown in with it...
Got my 2005 SUT in Antioch (down 173 from Chicago) for 23'000 with 60k all leather, new tera grapplers on chromed 20's, sunroof, 2" suspension lift, and a hard tonneau. Someone jacked the rear entertainment display though so there was a funky cover on the headliner, they removed the rear swing gate and the dealership couldn't track it down so they refunded me 1800 to get a swing gate and a spare (bought the gobi roof rack with spare tire carrier on top).
Much better deals out there for under 24k and that should leave you with 4k to spend on goodies for it.

I would reconsider what you are getting for that truck. Maybe if the dealer would give you a 4 month warranty, new tires, full tank, 4 oil changes, new brakes, new rotors, 100% over hall service (oil change, spark plugs, transfer, transmission, front and rear diff change, air filter, everything re-greased). Then I would think about it for a few days and then make a decision. You can find better deals out there and I would show him. If he wants to sell that truck, he will do whatever it takes to please you. They probably got the truck from a action for maybe $20k and trying to make a killing off it.
